Terms of Service & Disclosure

Please review the official rules, disclosures, and guidelines governing the Atlanta Black Business Board advertising directory.

1. Platform Definition & Commercial Structure

Atlanta Black Business Board ("the Board," "we," "us") is a commercial digital advertising directory operated by a commercial entity organized under the laws of the State of Georgia. When submitting a payment on this platform, customers are purchasing a Guaranteed Digital Advertising Spot and Directory Placement on our public commercial index.

As a commercial enterprise, the platform reserves the right to distribute a portion of its corporate advertising revenues and operational profits back to its active listed business members as a voluntary corporate customer loyalty incentive and community growth reward.

Important Legal Clarifications & Commercial Structure:
  • Georgia Commercial Entity: You are purchasing digital advertising placement directly from a Georgia-based commercial enterprise.
  • Guaranteed Digital Ad Spot: All fees paid constitute the purchase of immediate, active digital advertising placement and directory exposure. Payments are not deposits, bets, or contributions to a financial pool.
  • Corporate Loyalty Incentive Model: Member profit distributions represent a discretionary corporate advertising revenue share and customer loyalty incentive, not a prize, lottery, sweepstakes, gambling product, stock, security, dividend, or financial investment.
  • Not a Charity: Payments are commercial advertising expenditures and are not tax-deductible charitable donations.

2. Eligibility Requirements

To be eligible for listing on The Index, an entity must meet the following criteria:

  • Be located in or actively serve the Metro Atlanta area.
  • Self-attest that it is a Black-owned business, organization, brand, artist, or influencer (defined as at least 51% owned, operated, or led by Black individuals). The Index relies on honest self-attestation upon listing. In the rare & unlikely scenario, We do reserve the right to request verification and to remove listings found to be extremely non-compliant.
  • Be a lawful, active business, organization, brand, artist, or influencer under local, state, and federal law.

3. Ad Placement & Ranking Rules

  • Any eligible business, organization, brand, artist, or influencer may submit an Ad Spend amount in U.S. Dollars ($USD) to claim or boost its rank placement.
  • Ranking order is determined strictly by cumulative total Ad Spend amount, highest to lowest. Ties are resolved by the earlier timestamp.
  • Ad Spend purchases immediate digital advertisement placement on our community-backed directory. Your rank holds dynamically based on live directory activity. Minimum duration at any specific rank is not guaranteed.
  • Perpetual Listing & Permanent Placement: The Index never resets. Once your business is listed on The Index, it stays on The Index forever — giving your business the potential for perpetual residual revenue share month after month.
  • Right of Removal & Safety Policy: The Board reserves the right to remove any listing deemed malicious, fraudulent, illegal, offensive, deceptive, or unsafe. In such events, any associated ad spend or sponsorship payment will be refunded to the original payment method, and the listing will be permanently removed.
  • All Ad Spend purchases are final and non-refundable once processed, as digital ad placement occurs immediately (except under the Right of Removal safety policy above).

4. Community Advertising Program & Marketing Rebate Terms

By purchasing advertising space or boosting your listing placement ("Ad Spend") within the Atlanta Black Business Board directory, your company is automatically enrolled in our local Community Advertising Program.

  1. Guaranteed Advertising Asset: Every payment made to the Atlanta Black Business Board guarantees your business an active, continuous, and live directory listing. There are no non-refundable entry fees, and no participant pays money without receiving a tangible digital advertising asset in return.
  2. Programmatic Marketing Rebates: To incentivize network participation, visibility, and economic growth within the community, the Atlanta Black Business Board operates a programmatic marketing rebate ecosystem. The platform allocates exactly 50% of gross directory advertising revenue to a corporate rebate fund.
  3. Rebate Distribution: This rebate fund is programmatically distributed back to active, listed network participants as an advertising rebate using a Quadratic Distribution Formula, directly reducing your net cost of directory promotion. These disbursements are strictly classified as corporate marketing rebates and operational business expenses paid by the platform to its community vendors.
  4. Tax Compliance: Participants acknowledge that these rebates may constitute gross business income under United States and State of Georgia tax laws. The Atlanta Black Business Board reserves the right to withhold disbursement of accumulated rebates until the participant provides a valid IRS Form W-9 if required by federal law.

Definition of Lifetime Distribution & Directory Validation

  • Lifetime Eligibility: The phrase "lifetime share of ongoing cash rewards" refers strictly to a continuously validated, active business listing on the Atlanta Black Business Board directory.
  • Annual Directory Verification: To maintain an active listing status and remain eligible for programmatic cash rewards, listed businesses must respond to an annual digital directory validation prompt sent by the platform to the business's registered email address each year in April.
  • Inactivity and Forfeiture: If a business fails to validate their directory listing within thirty (30) days of a validation notice, the listing will be flagged as unverified. Unverified listings forfeit their snapshot distribution rights, and their portion of the community rebate pool will be programmatically distributed to active, verified participants on the board.
  • Estimated Payout Disclaimer & Schedule: Estimated payouts are live projections and are subject to change in real-time due to sponsorship and ad placement activity. Payouts are distributed bi-weekly based on snapshots taken at 12:01 AM on the 7th and 21st of every month. If a scheduled payout date falls on a weekend or federal holiday, payouts will be processed on the next business day. New ad placements on the board may be disabled for a brief reconciliation period.
  • Voluntary Revenue Share Opt-Out: Any listed business, organization, brand, artist, or influencer may choose to opt out of receiving Revenue Share distributions by selecting "Opt Out — Type DECLINE in payout handle" (or entering "DECLINE" in their payout handle field). If opted out, their mathematical allocation remains in the community fund and is automatically redistributed to other active listed participants.
  • Minimum Payout Threshold: Due to payment processor and network transfer limitations, only payouts of $1.00 or greater will be processed.
  • Payouts are delivered via Cash App ($Cashtag) or Zelle to the handle specified by the business at signup. Businesses are responsible for keeping payout handles accurate. Bi-weekly distributions delivered via Cash App automatically include a 3% transfer fee deducted at the time of payout to cover network processing costs.
  • The remaining funds cover marketing, secure credit card processing, server infrastructure, legal compliance, and administration costs.

5. Payment Processing & Micro-Fees

Ad spend and sponsorship payments are processed securely via Stripe. By purchasing ad placement or sponsorship, you agree to Stripe's terms of service and privacy policy. Transactions under $4.00 automatically include a $0.30 credit card processing fee at checkout to cover interchange costs. Bi-weekly rebate distributions sent via Cash App automatically include a 3% transfer fee deducted from the payout amount to cover Cash App network processing fees.

6. Limitation of Liability

Placement on The Index is an advertising exposure opportunity. The Board makes no guarantees regarding sales volume, website traffic, or specific commercial outcomes. To the maximum extent permitted by Georgia state law, the Board is not liable for indirect, incidental, or consequential damages arising from platform usage.

7. Email Communications & Newsletter Consent

By entering your email address on this site (whether when purchasing ad spend, boosting a listing, claiming placement, making a sponsorship contribution, or contacting us), you agree to receive platform updates, account notifications, and newsletters from ATL Black Business Board. You may choose to opt out or unsubscribe from promotional emails at any time by following the unsubscribe instructions in any email or by contacting us at hello@atlbbb.com.

8. Governing Law & Entity Jurisdiction

These Terms of Service and all advertising transactions on the platform are governed by and construed in accordance with the laws of the State of Georgia, United States, without giving effect to any principles of conflicts of law. The platform is operated by a commercial business entity organized in the State of Georgia.
